Mozambique Regulator Clears Visabeira to Take 80% Control of TV Cabo

Mozambique’s Competition Regulatory Authority (ARC) has decided not to oppose a transaction that allows Visabeira Moçambique, the local subsidiary of Portuguese conglomerate Grupo Visabeira, to acquire a 30% stake in TV Cabo – Comunicações Multimédia from state telecommunications operator Moçambique Telecom (Tmcel).

On completion of the transaction, Visabeira Moçambique will hold 80% of TV Cabo’s share capital, significantly strengthening its control over the company. The ARC determined that the deal is not likely to create significant barriers to effective competition in Mozambique’s fixed electronic communications services market.

The ARC’s approval does not imply that Visabeira Moçambique is acquiring Tmcel itself. The transaction concerns only the 30% stake in TV Cabo previously held by the state-owned operator, which will be added to the 50% already held by Visabeira Moçambique.

With its decision, the ARC has formally closed the Visabeira Moçambique/TV Cabo process, which the regulator classified as an acquisition of exclusive control. Case number 02/2026 is now listed as ‘concluded’ on the ARC’s official website.

TV Cabo provides subscription television, fixed-line internet, and voice services to residential and business customers across Mozambique. With an 80% shareholding, Visabeira Moçambique assumes full operational control of a company active across multiple segments of the telecommunications sector.

In a parallel move, Visabeira Moçambique is also seeking to raise its stake in Televisa – Sociedade Técnica de Obras e Projectos, through the acquisition of the 30% currently held by Tmcel. The transaction would lift Visabeira Moçambique’s interest in Televisa from 50% to 80%.

Televisa specialises in telecommunications network engineering, infrastructure construction, customer installation, and the maintenance of electronic communications systems. Unlike the TV Cabo process, however, the Visabeira Moçambique/Televisa case remains listed as ‘under review’ by the ARC.

Taken together, the two transactions represent a reduction in Tmcel’s shareholding in companies where Visabeira Moçambique was already a minority partner. For the Portuguese group, they mark the consolidation of control over two strategic assets in Mozambique’s telecommunications sector.
